Acceptance of Terms
Welcome to SpeakFolio, a mobile application operated by Kentrologia Innovation Inc. ("Company," "we," "our," or "us"). By accessing or using the SpeakFolio mobile application (the "Service"), you agree to be bound by these Terms of Service ("Terms").
If you do not agree to these Terms, you may not access or use the Service. We reserve the right to modify these Terms at any time, and your continued use of the Service constitutes acceptance of the updated Terms.
Description of Service
SpeakFolio is a career documentation tool that allows professionals to capture work accomplishments via voice recordings. The Service includes:
- Voice recording and transcription capabilities
- AI-powered content structuring and generation (STAR method)
- Storage and organization of career achievements
- Export functionality for performance reviews and documentation
- Project tagging and search features
The Service is provided "as is" and we reserve the right to modify, suspend, or discontinue any aspect of the Service at any time.
Account Registration and Eligibility
- Age Requirement: You must be at least 13 years old to use the Service. Users under 18 should have parental or guardian consent.
- Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
- Accurate Information: You agree to provide accurate, current, and complete information during registration and to update such information as necessary.
- One Account: You may only create one account per person unless explicitly authorized by us.
Subscription and Billing
Subscription Plans
- Free Plan: Limited features as described in the app
- Pro Monthly: $9.99/month, billed monthly
- Pro Annual: $79.99/year, billed annually
Payment Processing
Payments are processed through the Apple App Store or Google Play Store. All billing disputes, refunds, and subscription management must be handled through the respective platform.
Auto-Renewal
Subscriptions automatically renew unless canceled at least 24 hours before the end of the current billing period. You can cancel anytime through your App Store or Play Store account settings.
Free Trial
If a free trial is offered, you will be charged at the end of the trial period unless you cancel before the trial expires. Trial eligibility is determined by platform stores.
User Responsibilities and Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:
- Upload content that infringes on intellectual property rights, is defamatory, illegal, or violates third-party rights
- Use the Service to store or share confidential information belonging to your employer without authorization
- Attempt to reverse engineer, decompile, or extract source code from the application
- Use automated scripts, bots, or scraping tools to access the Service
- Interfere with or disrupt the Service's servers, networks, or infrastructure
- Impersonate another person or entity or falsely represent your affiliation
- Violate any applicable local, state, national, or international law
Professional Use: While SpeakFolio is designed for career documentation, you are responsible for ensuring your use complies with your employer's policies regarding documentation and data handling.
Intellectual Property Rights
Your Content
You retain all ownership rights to the content you create, upload, or submit to the Service ("User Content"). By using the Service, you grant us a limited, worldwide, non-exclusive, royalty-free license to:
- Store, process, and transmit your User Content to provide the Service
- Use AI and machine learning models to transcribe and structure your content
- Display your content back to you within the app
Important: We do NOT claim ownership of your achievements, recordings, or documentation. We do NOT use your User Content to train AI models or for marketing purposes without explicit consent.
Our Intellectual Property
The SpeakFolio application, including its design, features, code, trademarks, logos, and branding, is owned by Kentrologia Innovation Inc. and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service without prior written consent.
AI-Generated Content and Accuracy
SpeakFolio uses AI to transcribe voice recordings and structure career achievements. While we strive for accuracy:
- AI-generated transcriptions and structured outputs may contain errors or inaccuracies
- You are responsible for reviewing and verifying all AI-generated content before using it professionally
- We are not liable for any consequences arising from reliance on AI-generated content without verification
- AI outputs are suggestions and tools to assist documentation, not guaranteed professional advice
Privacy and Data Protection
Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
By using the Service, you consent to the data practices described in our Privacy Policy.
Limitation of Liability
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
To the maximum extent permitted by law, Kentrologia Innovation Inc. disclaims all warranties, including but not limited to:
- Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
- Warranties that the Service will be uninterrupted, secure, or error-free
- Warranties regarding the accuracy, reliability, or completeness of AI-generated content
IN NO EVENT SHALL KENTROLOGIA INNOVATION INC. BE LIABLE FOR:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or goodwill
- Damages arising from your use or inability to use the Service
- Any reliance on AI-generated content or transcriptions
- Unauthorized access to or alteration of your transmissions or data
Our total liability to you for any claims arising from or related to these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or $100, whichever is greater.
Indemnification
You agree to indemnify, defend, and hold harmless Kentrologia Innovation Inc., its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:
- Your violation of these Terms of Service
- Your violation of any rights of another party
- Your User Content or any content you submit, post, or transmit through the Service
- Your use of the Service in violation of applicable laws or regulations
Termination
Termination by You
You may terminate your account at any time by deleting your account through the app settings. Upon termination, your User Content will be deleted in accordance with our Privacy Policy.
Termination by Us
We reserve the right to suspend or terminate your account and access to the Service at our sole discretion, without notice, for:
- Violation of these Terms of Service
- Fraudulent, abusive, or illegal activity
- Prolonged inactivity
- Any other reason we deem necessary to protect the Service or other users
Effect of Termination
Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination (including intellectual property, limitation of liability, and dispute resolution) will survive.
Dispute Resolution and Governing Law
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions.
Jurisdiction
You agree that any legal action or proceeding arising from or related to these Terms or the Service shall be brought exclusively in the courts located in Ontario, Canada, and you consent to the personal jurisdiction of such courts.
Informal Resolution
Before filing any legal claim, you agree to first contact us at hello@kentrologia.com to attempt to resolve the dispute informally.
Changes to Terms and Modifications
We reserve the right to modify or replace these Terms at any time at our sole discretion. If we make material changes, we will notify you by:
- Posting the updated Terms within the app
- Sending an in-app notification
- Updating the "Last Updated" date at the top of this page
Your continued use of the Service after changes to the Terms constitutes acceptance of those changes. If you do not agree to the updated Terms, you must stop using the Service and delete your account.
Miscellaneous Provisions
Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Kentrologia Innovation Inc. regarding the Service.
Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
Assignment: You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.
Force Majeure: We shall not be liable for any failure to perform our obligations due to circumstances beyond our reasonable control.
Third-Party Services: The Service may contain links to third-party services (AI providers, cloud storage). We are not responsible for the content, privacy policies, or practices of any third-party services.
